Terms of Service
Effective date: November 23, 2026
The previous version of these Terms took effect on October 4, 2026 and applies until this version takes effect. You can still read the previous version.
These Terms of Service (the "Terms") are an agreement between you and ForgeIntent LLC ("ForgeIntent," "we," "us," or "our"), which does business as HRMorning and Rover Insights. They govern your use of Beacon, the AI assistant for HR professionals that we offer under the HRMorning brand at beacon.hrmorning.com, together with its related emails, live sessions and features (together, "Beacon" or the "Service").
Please read them carefully. They include a limit on our liability (section 19), and they say which law and courts govern disputes and include a waiver of trial by jury (section 21).
1. Accepting these Terms
By creating an account, or by using Beacon, you agree to these Terms and to our Privacy Policy, which explains how we handle personal information. If you do not agree, do not use Beacon.
If you use Beacon on behalf of a company or other organization, you accept these Terms on its behalf and confirm that you have the authority to do so. In that case "you" means both you and that organization.
If your organization has signed a separate written agreement with us for Beacon, that agreement controls wherever it conflicts with these Terms.
2. Who can use Beacon
Beacon is a professional tool for people working in or advising on human resources. To use it you must be at least 18 years old and use it for business or professional purposes, not for personal, family or household purposes. You may not use Beacon if you are barred from doing so under the laws of the United States or any other applicable jurisdiction.
3. Your account
- Accurate information. Give us accurate account and profile information, and keep it up to date.
- Security. Beacon requires multi-factor authentication. Keep your sign-in credentials and second factor to yourself, and tell us promptly at beacon@hrmorning.com if you believe your account has been used without your permission.
- One person per account. An account belongs to one individual. Do not share it. Each person who uses Beacon needs their own account and, on a paid plan, their own seat.
- Responsibility. You are responsible for activity that happens under your account.
4. Organizations, workspaces and seats
Every Beacon account belongs to an organization workspace. The administrators of a workspace can invite and remove members, manage the company information and documents the workspace shares, connect outside services, and manage billing.
Information a member adds to the shared workspace, such as company details or documents uploaded for the whole organization, belongs to that organization and stays with it if the member leaves. Documents a member uploads as personal remain visible only to that member.
The Free plan includes one seat. Paid plans include the number of seats your organization purchases.
5. Plans, billing and renewal
Free plan. The Free plan includes a defined set of features and a usage allowance. When you reach the allowance, some features may pause until your usage falls back under it, or until you upgrade. We may change what the Free plan includes.
Paid plans. Prices, seats and billing frequency are shown when you subscribe. Paid plans are billed in advance, monthly or annually.
Automatic renewal. A paid plan renews automatically at the end of each billing period, for a period of the same length, until you cancel. Your payment method is charged at each renewal. Where the law requires it, we will remind you before a renewal.
Cancelling. You can cancel, or reduce your seats, at any time in Billing. Your plan stays active until the end of the period you have already paid for, and then it does not renew. Except where the law requires otherwise, fees already paid are not refunded, including for a partial period.
Invoiced plans. If we agree to bill your organization by invoice, payment is due within the terms stated on the invoice. Issued invoices remain due if you cancel.
One-time purchases. Some items, such as a workshop recording or a seat at a live workshop, are sold individually. The price and what you receive are shown at purchase. Except where the law requires otherwise, one-time purchases are not refundable once you have access to what you bought. If something went wrong with a purchase, contact us at beacon@hrmorning.com, and we may offer a refund at our discretion.
Taxes. Prices do not include taxes unless stated. You are responsible for applicable taxes other than taxes on our income.
Price changes. We will give you at least 30 days' notice of a price increase for your paid plan. The new price applies from your next renewal after the notice period, and you can cancel before it takes effect.
Payment processing. Card payments are processed by our payment provider, Stripe. We do not store your full card number. If a payment fails, we may suspend paid features or move your workspace to the Free plan until the balance is paid.
6. Your content
"Your Content" means everything you or your organization put into Beacon: questions and messages, documents and meeting transcripts you upload, company and profile information, and content from services you connect.
- You own Your Content. As between you and us, you and your organization keep all rights in it.
- Our permission to use it. You give us a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit and display Your Content only as needed to provide, secure, support and improve Beacon, as described in our Privacy Policy. This license ends when Your Content is deleted from Beacon, except for copies we must keep for legal reasons or that remain in backups until they expire.
- No training of AI models on Your Content. We do not use Your Content to train or fine-tune generative AI models.
- Your responsibilities. You confirm that you have the rights and permissions needed to put Your Content into Beacon, including any notice to or consent from employees, candidates or other people whose information it contains. If you upload a meeting transcript, you also confirm that the people in the meeting were told it was being recorded or transcribed, and that you may share what they said with Beacon.
- Sensitive data. Beacon is not designed for, and is not certified for, regulated or highly sensitive data. Do not upload protected health information, Social Security or other government identification numbers, payment card numbers, or similarly sensitive personal data. Beacon is not HIPAA-eligible, and we do not sign business associate agreements.
- Meeting transcripts. A meeting transcript you upload is read once to write a wrap-up and is not stored; Beacon keeps only the wrap-up. Beacon is designed to decline job interviews, exit interviews and meetings about investigations, terminations, discipline, an individual's health, accommodation or leave, legal advice, union matters and pay negotiations, and to leave health details out of the wrap-ups it writes. You remain responsible for not uploading transcripts of those meetings, and for reviewing a wrap-up before you rely on it or share it.
7. Answers, drafts and other outputs
Beacon uses artificial intelligence to produce answers, summaries, policy drafts, checklists and other material ("Outputs").
- Outputs can be wrong. AI-generated Outputs may be inaccurate, incomplete or out of date, even when they cite a source. Check the sources Beacon shows you, and verify anything you intend to rely on.
- Use of Outputs. Subject to these Terms and to the rights of others in any content an Output quotes or summarizes, you may use Outputs for your organization's internal business purposes. We do not claim ownership of Outputs generated for you.
- Outputs are not unique. Other users may receive similar Outputs.
- Your decisions. You are responsible for how you use Outputs and for the decisions you make, including decisions about employees and candidates.
8. Not legal or professional advice
Beacon provides general HR information and tools. Beacon does not provide legal, tax, accounting or other professional advice, and using it does not create an attorney-client or other professional relationship. ForgeIntent is not a law firm.
Employment law varies by jurisdiction and changes often. Before you act on anything Beacon tells you, including compliance guidance, deadlines and generated documents, confirm it with a qualified professional. Generated policies and documents are drafts for your review, not finished instruments. Compliance reminders and calendars are a convenience: you remain responsible for meeting your legal obligations and deadlines.
9. HRMorning and third-party content
Beacon draws on HRMorning's editorial library and on outside sources such as government publications and news. That content is owned by us or by its respective owners, and is made available to you for your internal use while you use Beacon. You may not republish, resell or redistribute it.
Beacon links to outside websites and resources. We do not control them and are not responsible for their content, availability or practices.
10. Sponsored content, vendors and partners
Sponsored resources. Some resources in Beacon, such as whitepapers, guides and webinars, are provided by third-party sponsors. A sponsored resource identifies its sponsor before you open it. When you choose to open one, or register for a sponsored live session, we share your professional profile information with that sponsor as described at that moment and in our Privacy Policy, and the sponsor may contact you.
Software and service recommendations. Beacon can suggest HR software and service providers. Some providers may sponsor content or have another commercial relationship with us. A recommendation is not an endorsement or a guarantee, and any dealings you have with a provider are solely between you and that provider.
11. Connected services
Workspace administrators can connect outside services, such as Microsoft 365, Google Drive or Dropbox, so Beacon can use selected documents. By connecting a service, you authorize us to access and copy the content you select, for use within your workspace. Your use of a connected service is governed by that provider's own terms. You can disconnect a service at any time.
You can also connect your own calendar (currently Microsoft Outlook). Beacon then reads the times and titles of your meetings so it can remind you before and after them. It does not read meeting invitations, attendees or recordings. It keeps only the reminders it sends you, and you can disconnect your calendar at any time.
If your plan includes it, you can also connect Microsoft Teams or Zoom and pick a meeting for Beacon to wrap up. Beacon then reads that meeting's transcript once to write the wrap-up, and does not keep the transcript. It reads only meetings you pick, and only transcripts the platform has already made. Section 6 applies to those transcripts as it does to ones you upload. You can disconnect Teams or Zoom at any time.
12. Live sessions and workshops
Live sessions and workshops are delivered through third-party webinar platforms. Registering shares the information shown at registration with the platform and, for sponsored sessions, with the sponsor. Whether you can watch a recording depends on your plan or purchase. Any continuing-education credit is subject to the issuing body's rules.
13. Acceptable use
You agree not to, and not to help anyone else to:
- Break the law, or use Beacon or its Outputs to make decisions about people in violation of anti-discrimination, privacy or other employment laws;
- Upload content you do not have the right to share, or that is unlawful, harmful or infringing;
- Access another person's account or another organization's data, or try to;
- Probe, scan or test the security of Beacon, or disrupt or overload it;
- Attempt to make Beacon reveal its instructions, other users' information or data it is not meant to disclose;
- Copy, scrape or harvest Beacon or its content through automated means, except through features we provide;
- Reverse engineer or decompile Beacon, except where the law expressly allows it;
- Use Beacon or its content to build a competing product, or to train or improve an AI model;
- Get around usage limits, seat limits or plan restrictions, or share an account;
- Resell, sublicense or provide Beacon to anyone outside your organization; or
- Misrepresent who you are or your affiliation with anyone.
We may investigate suspected violations and take appropriate action.
14. Feedback
If you send us suggestions, ratings, comments or other feedback about Beacon, we may use it for any purpose without obligation to you. Feedback does not give us rights in Your Content beyond those in section 6.
15. Our intellectual property
Beacon, including its software, design, features and the HRMorning content within it, is owned by us or our licensors and is protected by intellectual property laws. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use Beacon while you comply with them. We reserve all rights not expressly granted. "Beacon" and "HRMorning" and their logos are trademarks that you may not use without permission.
16. Ending your use of Beacon
You can stop at any time. You can delete your account in Settings. Deletion takes effect after a 30-day grace period, during which you can cancel it using the link we email you. Your data is then handled as our Privacy Policy describes. Export anything you want to keep before you delete your account.
We can suspend or end access if you breach these Terms, if payment is overdue, if your use creates risk or harm for us, other users or third parties, if the law requires it, or if we stop offering Beacon. Where reasonable, we will give you notice first and a chance to fix the problem.
What survives. Sections 6 through 10, 14, 15 and 18 through 22, and any amounts you owe, survive the end of these Terms.
17. Changes to Beacon and to these Terms
Beacon is evolving, and we may add, change or remove features.
We may update these Terms. If a change is material, we will tell you by email or in Beacon at least 30 days before it takes effect. If you keep using Beacon after a change takes effect, you accept the updated Terms. If you do not agree, stop using Beacon and, on a paid plan, cancel before the change takes effect.
18. Disclaimers
Beacon and all Outputs and content are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation. We do not warrant that Beacon or any Output is complete, current or correct.
19. Limitation of liability
To the fullest extent the law allows:
- Neither the ForgeIntent Parties (as defined in section 20) nor their licensors or suppliers will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or relating to Beacon or these Terms, even if advised that they were possible; and
- Our total liability for all claims arising out of or relating to Beacon or these Terms will not exceed the greater of the amounts you paid us for Beacon in the 12 months before the event giving rise to the claim, or USD $100.
Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
20. Indemnification
To the fullest extent permitted by applicable law, you shall, at your own sole cost and expense, defend, indemnify, and hold harmless ForgeIntent, and its respective officers, directors, shareholders, members, partners, parents, subsidiaries and any other affiliated entities, agents, servants, employees, and independent contractors of these persons or entities ("ForgeIntent Parties") from and against any and all claims, demands, liabilities, obligations, losses, penalties, actions, suits, damages, expenses, disbursements (including, but not limited to, legal fees and expenses), or costs of any kind or nature whatsoever ("Claims") brought by any third party, employee, servant, representative, agent, contractor or subcontractor of yours in any way relating to or resulting, in whole or in part, from Your Content, your use of Beacon or its Outputs, including employment decisions you make, or your breach of these Terms or of the law. The provisions of this section shall survive the expiration or earlier termination of these Terms until all Claims involving any indemnified matter are fully and finally barred by the applicable statute of limitations. This indemnification obligation will not be reduced in any way by any limitation on the amount or type of damages, compensation, or benefits payable by you or your subcontractors under any employee benefit act including but not limited to Workers' Compensation Acts, Disability Benefits Acts, or other Employee Benefit Act.
21. Governing law and disputes
These Terms are governed by and interpreted and enforced in accordance with the laws of the Commonwealth of Pennsylvania (without regard to any conflict of laws provisions) and the decisions of the Pennsylvania courts. You and we irrevocably consent to the exclusive jurisdiction of the State and Federal Courts of Pennsylvania, and waive any claim or defense that such forum is not convenient or proper. You agree and consent to service of process in any manner authorized by Pennsylvania law.
You and we each waive the right to a trial by jury in any dispute in connection with or relating to these Terms or any matters described or contemplated in them, and agree to take any and all action necessary or appropriate to effect such waiver.
In any litigation or legal proceeding between you and us, the prevailing party shall be entitled to receive reimbursement from the non-prevailing party for all incurred costs and expenses, including reasonable attorneys' fees. The term "prevailing party" shall mean that party whose position is substantially upheld in a final judgment rendered in such litigation, or, if the final judgment is appealed, that party whose position is substantially upheld by the decision of the final appellate body to consider the appeal.
Before filing a claim, each of us agrees to try to resolve the dispute informally. Send a written description of your dispute to beacon@hrmorning.com, and we will do the same by email to you. If the dispute is not resolved within 30 days, either of us may pursue it as described above.
22. General terms
- Entire agreement. These Terms, the Privacy Policy and any order or invoice for a paid plan are the entire agreement between you and us about Beacon.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets, or to an affiliate.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Severability. If a provision is found unenforceable, it will be enforced to the maximum extent possible, and the rest of these Terms stays in effect.
- Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control.
- Electronic communications. You agree that we may communicate with you electronically, and that electronic notices and agreements satisfy any requirement that they be in writing.
- Export and sanctions. You will comply with U.S. export control and sanctions laws in using Beacon.
- Relationship. These Terms do not create a partnership, joint venture, agency or employment relationship, and they create no rights for third parties.

Changelog
Newest first. The "Last updated" date on this page is the first date in this table.
| Date | Change |
|---|---|
| 2026-10-19 | This version now takes effect on November 23, 2026, not November 16, so the email about it still reaches you at least 30 days ahead, as section 17 says. The text is unchanged. |
| 2026-10-16 | Wording, after counsel's second review; this version still takes effect on November 16, 2026. Section 19 refers to "the ForgeIntent Parties (as defined in section 20)". Section 21's informal-resolution paragraph points to the courts named above it. Section 6 adds job interviews and exit interviews to the meetings Beacon is designed to decline. |
| 2026-10-13 | After counsel's review. Section 19's limit on liability now covers the ForgeIntent Parties (defined in section 20). Section 21's first paragraph gives the state and federal courts of Pennsylvania exclusive jurisdiction over disputes, and the separate paragraph that said the same is removed. This version now takes effect on November 16, 2026, at least 30 days after we email every user about it. Every user is asked to accept it. |
| 2026-10-09 | Published October 9, 2026, in effect from November 9, 2026. Section 20 (indemnification) replaced with a broader clause. Section 21 restates governing law (disputes are still heard by the state or federal courts in Pennsylvania), and adds a waiver of trial by jury and recovery of legal costs by the prevailing party. List items in sections 13 and 19 start with a capital letter. Every user is asked to accept this version. |
| 2026-10-08 | Section 11: you can connect Microsoft Teams or Zoom to wrap up a meeting you pick, and Beacon does not keep its transcript. |
| 2026-10-08 | Section 6: meeting transcripts you upload, your responsibility for the meeting's notice, and the meetings Beacon declines. |
| 2026-10-08 | Section 11: you can connect your own calendar, and what Beacon reads from it. |
| 2026-10-04 | First published version, in effect from this date. |
